The Company is a commercial litigation and commercial property financier.
The Company is a licenced moneylender authorised by the Isle of Man Office of Fair Trading and is registered with the Isle of Man Financial Services Authority under the Designated Business and Oversight Act 2015.
The Company has created a number of Cells in order to achieve its commercial and investment objectives.
As a Protected Cell Company the Company contracts in the name of and on behalf of its Cells. The liability of the Company shall be limited to the cellular assets of the Cell on behalf of which the Company contracts without recourse to the core assets or against any cellular assets of any other Cell of the Company and on this website the expression Core Assets and Cellular Assets shall respectively bear the meanings given to them in the Companies Act 2006.
The Company is concerned primarily with the provision of litigation funding, bridging and short term commercial property finance, private equity and corporate finance.

The Litigation Finance Cell ("the Cell") is a commercial litigation financier which provides funding to Approved Firms (being a Firm of Solicitors, and/or duly Recognised Body and/or Authorised Body and/or Alternative Business Structure and/or Claims Management Company and/or duly registered and authorised Independent Financial Adviser authorised to practice in England and Wales and registered with the Law Society of England and Wales and/or the Financial Conduct Authority and/or any other authorising or equivalent or regulatory body and permitted by legislation and/or regulation to act for a claimant in bringing a claim for damages and/or compensation) and/or claimants for the purposes of financing all aspects of commercial cases and financial mis-selling cases.
The Cell will subject to satisfactory security being available, enter into finance agreements with Approved Firms and/or Claimants with a view to funding commercial cases which comprise of (inter alia) trust and corporate disputes, commercial disputes, civil fraud, environmental and public liability, patent infringement, professional negligence cases, personal injury cases and financial mis-selling cases brought before the courts or referred to arbitration, mediation or conciliation.
The Cell will, also fund financial mis-selling cases in circumstances where a claim for compensation is to be brought by an Approved Firm on behalf of a Claimant under the Financial Services Compensation Scheme (FSCS) or the Financial Ombudsman Scheme (FOS) by reason of the fact that the amount of compensation sought falls within the limits laid down by the rules relating to the Financial Services Compensation Scheme or the Financial Ombudsman Scheme.
The Cell will also provide finance by way of factoring or by the confidential discounting the invoices of Approved Firms raised in respect of (inter alia) their pre-agreed costs, disbursements and/or other expenses incurred by them in relation to commercial cases, personal injury cases and financial mis-selling cases.
Legal expense and disbursement protection insurance (in respect of which the Company can procure assistance) must be available and the Company’s interest noted on the Policy. Professional indemnity insurance must also be carried by the Approved Firm.
The Company will contract in the name of and on behalf of the Litigation Finance Cell.
The Finance Cell (the Cell) is a commercial property financier which provides or procures (dependent upon deal size) bridging, short term commercial loans, mezzanine, equity, venture and/or development finance to borrowers in relation to (inter alia) the acquisition of all types of commercial property including but not limited to offices, shops, hotels, care homes, student accommodation, restaurants and public houses and further for the purposes of carrying out the development and/or refurbishment thereof or otherwise improving the same thereby enhancing the value of the property and the security provided before the property is re-financed or sold.
The Cell will provide or procure as the case may be a mix of bridging and other short term commercial loans, mezzanine, equity, venture and/or loan capital and/or working capital to corporates in relation to (inter alia) commercial property ventures.
The value and quality of the security is paramount. All loans must be secured by way of a fixed and floating charge over the assets and property which support the loan made to a borrower. Where the borrower is a corporate or a limited partnership personal guarantees will be required.
The Company will contract in the name of and on behalf of the Finance Cell.
The Care Home Cell (the "Cell") is a specialist financier dealing with the acquisition, redevelopment and/or refurbishment of care homes, nursing homes and/or special needs establishments ("Care Homes") with a view to their retention or disposal by traditional or alternative market means.
The Cell will provide or procure (dependent upon deal size) a mix of bridging, short term commercial loans, mezzanine, equity, venture, loan and/or working capital to corporates so as to enable those companies to acquire all types of Care Homes in areas of need and/or where the desired occupancy levels and room rates can be achieved and for the purposes of carrying out the re-development and/or refurbishment thereof and/or otherwise improving the same with a view to enhancing the value and/or profitability of the care home and thereby the security provided before the property is refinanced or sold.
All loans must be secured by way of a fixed and floating charge over the assets and property which support the loans made to a borrower. Where the borrower is a corporate or a limited partnership personal guarantees will be required.
The Cell can assist if required in procuring the appointment and retention of experienced care home managers and operators to manage the Care Home pending its resale.
The Cell is also able to assist in the event that the current ownership of the property and/or the management of the Care Home need to be restructured or disposed of due to financial pressures.
The Company will contract in the name of and on behalf of the Care Home Finance Cell.
The Hotel Finance Cell (the "Cell") is a specialist dealing with acquisition, redevelopment and/or refurbishment of commercial and/or leisure hotels, apart hotels and holiday lodges ("Hotels") with a view to their retention or disposal by traditional or alternative market means.
The Cell will provide or procure (dependent upon deal size) a mix of bridging and other short term commercial loans, mezzanine, equity, venture and/or loan capital and/or working capital to corporates in order to enable those companies to acquire, redevelop and/or refurbish or otherwise improve Hotels situate in recognised tourist areas, areas of historic interest and/or natural beauty and which are likely to be attractive to the national and/or international tourist and commercial hotels in areas of current commercial activity, business development and anticipated business and commercial growth with a view to enhancing the value and/or the profitability of the Hotel prior to it being refinanced or sold.
All loans must be secured by way of a fixed and floating charge over the assets and property which support the loans made to a borrower. Where the borrower is a corporate or a limited partnership personal guarantees will be required.
The Cell can assist if required in procuring the appointment and retention of experienced hotel managers and operators to manage the hotel pending its resale.
The Cell is also able to assist in the event that the current ownership of the property and/or the management of the Hotel need to be restructured or disposed of due to financial pressures.
The Company will contract in the name of and on behalf of the Hotel Finance Cell.
The Student Accommodation Cell (the “Cell”) is a specialist financier dealing with the acquisition and development of purpose built and/or the redevelopment and/or refurbishment of multiple occupancy student accommodation with a view to their retention or disposal by traditional or alternative market means.
The Cell will provide or procure (dependent upon deal size) a mix of bridging, short term commercial loans, mezzanine, equity, venture, loan and/or working capital to corporates so as to enable those companies to acquire all types of purpose built and/or multiple occupancy student accommodation in the prime university towns and cities and for the purposes of carrying out the re-development and/or refurbishment thereof and/or otherwise improving the same with a view to enhancing the value and/or profitability of the student accommodation and thereby the security provided before the property is refinanced or sold.
All loans must be secured by way of a fixed and floating charge over the assets and property which support the loans made to a borrower. Where the borrower is a corporate or a limited partnership personal guarantees will be required.
The Cell can assist if required in procuring the appointment and retention of experienced student accommodation managers and operators to manage the student accommodation pending its resale.
The Cell is also able to assist in the event that the current ownership of the property and/or the management of the student accommodation need to be restructured or disposed of due to financial pressures.
The Company will contract in the name of and on behalf of the Student Accommodation Finance Cell.
The Corporate Finance Cell (the “Cell”) representing principally entrepreneurs, high net worth individuals, sophisticated investors and corporates are able to assist in relation to all aspects of corporate finance private equity and secured syndicated loans.
The Cell is also able to advise in relation to all aspects of corporate structuring, re-structuring and design, including the establishment, management and administration of collective investment schemes whether these comprise of trusts, public, private or protected cell companies, partnerships, limited liability partnerships and/or limited partnerships for a myriad of purposes both in the Isle of Man and in most of the leading onshore and offshore financial centers.
The Cell is also able to procure advice and assistance from our international network of correspondents and associates in order to help us provide international cross border solutions for the most exacting clients.
